Terms of Service
The contract between you and ORACLX. Read carefully before staking, betting, or otherwise using the platform — by accessing or using ORACLX, you agree to be legally bound by everything below.
1. Acceptance of Terms
These Terms of Service (the "Terms") constitute a legally binding agreement between you (the "User", "you") and the operators of the ORACLX prediction battle platform ("ORACLX","we", "us", or "our") governing your access to and use of: (i) the website located at oraclx.net and any subdomain thereof; (ii) the underlying smart contracts identified in our published documentation; and (iii) any associated software, APIs, or user-facing application (collectively, the "Service").
By accessing the Service, registering for an account, signing a transaction in connection with the Service, or otherwise indicating assent (including by clicking a button labeled "I Agree", "Continue", "Accept", or similar), you acknowledge that you have read, understood, and agreed to these Terms, our Privacy Policy, our Risk Disclosure, and our Cookie Policy, each of which is incorporated by reference.
If you do not agree with any part of these Terms, do not access or use the Service.
2. Definitions
For the purposes of these Terms:
- "Account" means the wallet-bound user identity created when you sign in to the Service.
- "Battle" means a 1v1 prediction match consisting of a fixed sequence of 1-minute Bitcoin price candles, in which two Players each predict whether each candle will close higher (green) or lower (red) than its open.
- "Battle Pool" means the combined Stakes contributed by both Players for a given Battle, held in escrow until settlement.
- "Player" means a User actively enrolled as Player 1 or Player 2 in a specific Battle.
- "Spectator" means a User who views a Battle without being a Player and who may, where supported, place a side bet on a Player.
- "Spectator Pool" means the aggregate of all Spectator side bets on a given Battle, held in escrow until settlement.
- "Stake" means the amount of supported digital currency a Player commits to a Battle as a condition of entry.
- "Settlement" means the on-chain or off-chain execution of payouts at the end of a Battle pursuant to Section 6.
- "Smart Contract" means any program deployed on a public blockchain that the Service uses to escrow funds, execute Settlement, or otherwise enforce Battle outcomes.
- "Wallet" means a self-custodial or smart-account wallet (including, where applicable, accounts created via Magic Labs and account-abstraction infrastructure) used to interact with the Service.
3. Eligibility
To use the Service, you represent and warrant that you:
- Are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater;
- Have full legal capacity to enter into and perform under these Terms and to engage in the conduct contemplated by your use of the Service;
- Are not a person who is barred from participating in the Service under the laws applicable to you, including without limitation laws relating to online gaming, prediction markets, derivatives, gambling, sanctions, anti-money laundering, counter-terrorism financing, or the offer or sale of digital assets;
- Are not located in, ordinarily resident in, or a national of, any country, region, territory, or jurisdiction subject to comprehensive sanctions or embargoes by any major sanctioning authority, and are not on any prohibited-persons list maintained by such an authority;
- Are using the Service solely on your own behalf and not as an agent for another person or entity, except as a duly authorized representative of an entity that itself satisfies the eligibility requirements of these Terms;
- Will at all times comply with the laws applicable to your use of the Service in your own jurisdiction, including any tax obligations triggered by your activity (see Section 16).
You alone are responsible for confirming your eligibility. ORACLX does not warrant that the Service is lawful, available, or appropriate in any particular location, and ORACLX may at any time, with or without notice, restrict or block access from any jurisdiction in its sole discretion.
4. The Battle Service
4.1 What ORACLX is
The Service is a peer-to-peer prediction battle platform. Players opt into a Battle by committing a Stake; their opponent commits a matching Stake; the resulting Battle Pool is settled to the Player who correctly predicts the most 1-minute Bitcoin candle outcomes, in accordance with these Terms.
4.2 Modes of Battle
The Service currently supports two Battle modes:
- Quick. Five (5) consecutive 1-minute candles. Win threshold: first Player to three (3) correct candles. ELO weighting: standard (1×).
- Legendary. Ten (10) consecutive 1-minute candles. Win threshold: first Player to six (6) correct candles. ELO weighting: doubled (2×).
ORACLX may add, modify, or retire modes, candle counts, win thresholds, or candle duration at any time. Active Battles in flight at the time of any such change are completed under the rules in effect when the Battle began.
4.3 Underlying price source
Candle outcomes are determined by the publicly available Bitcoin/USDT 1-minute candle close prices on a designated reference exchange (currently Binance). ORACLX may, in its sole discretion and with reasonable advance notice where commercially practicable, change the reference exchange or aggregation methodology. ORACLX is not the source of the price data, does not validate it, and is not responsible for inaccuracies, outages, halts, or manipulation by the underlying price source. In the event of a documented outage, missing data, or material aberration of the reference feed during a candle, ORACLX may, acting reasonably, void and refund the affected candle, void and refund the affected Battle, or designate an alternate source.
4.4 Sudden Death
If, at the conclusion of the scheduled candle sequence, both Players have an equal number of correctly predicted candles and neither has reached the win threshold, additional 1-minute candles are appended one at a time until one Player gains a one-candle lead, at which point that Player is declared the winner.
4.5 Service availability
The Service is provided on an "as available" basis. ORACLX makes no representation that the Service will be uninterrupted, error-free, or available at any particular time. Scheduled and unscheduled downtime, maintenance, network congestion, smart contract upgrades, third-party service outages, regulatory action, or force-majeure events may delay or prevent your use of the Service.
5. Wallet, Identity & Custody
5.1 Wallet creation
The Service authenticates Users through email-based wallet creation provided by Magic Labs (or an equivalent identity provider). Upon first sign-in, an associated on-chain Wallet is provisioned and bound to your Account. You are solely responsible for safeguarding access to your email account and for the security of your Wallet. A compromise of your email account, recovery phrase, or authenticator device may result in unauthorized access to your Wallet and total loss of any funds held therein.
5.2 Custody model
ORACLX operates on a non-custodial basis. Your funds remain in your own Wallet at all times until you sign a transaction committing them to a specific Battle, at which point they are transferred directly to a Smart Contract — not to ORACLX. ORACLX does not at any time take possession or control of User Stakes outside of the Smart Contract escrow logic and is not a regulated custodian, money services business, or financial institution. There is no separate "deposit" of funds into ORACLX and no separate "withdrawal" — your funds simply stay in your own Wallet, and a Battle stake transfers a precise amount from your Wallet to the escrow Smart Contract for the duration of that Battle.
5.3 Sole responsibility for Wallet operations
You acknowledge and agree that:
- You alone are responsible for all transactions signed from your Wallet, including transactions signed via account-abstraction, social recovery, or paymaster mechanisms;
- You alone bear the risk of network gas fees, paymaster spreads, or markups associated with paying gas in stablecoin or alternate tokens;
- You alone bear the risk of erroneous, intercepted, or duplicated transactions, lost private keys or recovery factors, and any failure of the underlying blockchain network;
- ORACLX cannot reverse, refund, or otherwise undo a transaction once it has been confirmed on-chain.
6. Stakes, Settlement & Fees
6.1 Committing a Stake
To enter a Battle, you must commit a Stake of supported digital currency in an amount selected from the available stake tier menu (which ORACLX may update from time to time). Once both Players have committed their Stakes and the Battle has progressed past the cancellation window, your Stake is irrevocably committed to the Battle Pool subject only to Settlement.
6.2 Funding window and cancellation
When a Battle is matched, each Player has a fixed funding window (currently 60 seconds; subject to change) within which to commit their Stake. If either Player fails to commit within the window, the Battle is automatically cancelled and any Stake already committed is refunded to its sender, less any unrecoverable network fees.
6.3 Settlement and Player payouts
At the end of a Battle (whether by reaching the win threshold or by Sudden Death), the Battle Pool is settled as follows:
- Ninety-five percent (95%) of the Battle Pool is paid to the winning Player's Wallet;
- Five percent (5%) of the Battle Pool is retained by ORACLX as a service fee (the "Battle Fee") and is transferred to a Treasury contract or address designated by ORACLX.
Settlement is effected by the Smart Contract pursuant to its coded logic. ORACLX may, but is not required to, automatically trigger a "claim" function on behalf of the winning Player so that the Player's payout arrives in their Wallet without an additional manual step. If automatic claim fails for any reason, the winning Player retains the right to manually invoke the claim function until the Smart Contract's deadline lapses.
6.4 Tied or void Battles
In the rare event that a Battle cannot be resolved (for example, due to an irreparable price-feed failure persisting through Sudden Death), the Battle is declared void and each Player's Stake is refunded, less any unrecoverable network fees. ORACLX retains no fee on a void Battle.
6.5 Fee changes
ORACLX may modify the Battle Fee, the funding window, the stake tier menu, the minimum or maximum stake, or the win threshold for any new Battle going forward. Modifications do not apply retroactively to Battles already in progress.
6.6 No interest, no use of stake outside escrow
ORACLX does not pay interest on Stakes, does not lend or rehypothecate Stakes, and does not commingle Stakes with operating funds. Stakes remain inside the Smart Contract for the duration of the Battle.
7. Spectator Betting
7.1 Side bets on Battles
Where the Service supports it, a Spectator may place a side bet on either Player in a Battle during the dedicated betting window (typically the period between match-acceptance and the start of the first candle). All Spectator side bets accumulate in a separate Spectator Pool for that Battle.
7.2 Spectator betting cutoff
Once the first candle of the Battle begins, the Spectator betting window is closed and no further side bets may be placed on that Battle. The Spectator Pool is held in escrow until Settlement.
7.3 Spectator settlement
When a Battle is settled, the Spectator Pool is distributed as follows:
- Three percent (3%) of the Spectator Pool is retained by ORACLX as a service fee (the "Spectator Fee") and transferred to a Treasury contract or address designated by ORACLX;
- Ninety-seven percent (97%) of the Spectator Pool is distributedpro-rata among the Spectators who bet on the winning Player, in proportion to each such Spectator's bet amount as a share of the total winning- side Spectator pool.
If no Spectator bet on the winning Player, all Spectator side bets are refunded to the senders, less any unrecoverable network fees, and ORACLX retains no Spectator Fee for that Battle.
7.4 Player ineligibility
Players actively enrolled in a Battle may not place Spectator side bets on that same Battle, whether through their own Account or any other.
7.5 Spectator bet limits
ORACLX may set minimum and maximum Spectator bet amounts and may, in its sole discretion, decline a particular side bet for fraud-prevention, liquidity, or regulatory reasons.
8. Camera, Microphone & Live Chat
8.1 Optional camera and microphone use
Players may, at their option, enable their device camera and microphone during a Battle. By enabling either, you grant ORACLX (and its real-time media infrastructure provider, currently LiveKit) a non-exclusive, royalty-free, worldwide license to capture, transmit, and display your video and audio in real time for the duration of the Battle, to the other Player and to any Spectator viewing that Battle.
Camera and microphone use is not required. Players may select a static avatar instead. You may toggle your camera and microphone off at any time during a Battle.
8.2 Live chat
The Service includes an in-Battle text chat. Messages sent via the chat are delivered to other Users present in the same Battle in real time. Chat messages are not retained beyond the Battle session and are not surfaced as a public archive after the Battle ends.
8.3 Content rules
You agree not to use the camera, microphone, or live chat to display, transmit, or solicit:
- Sexually explicit content, child sexual abuse material, or content that sexualizes minors;
- Content that depicts or promotes violence, terrorism, or self-harm;
- Hate speech, harassment, threats, or content targeting an individual or group based on a protected characteristic;
- Content that infringes intellectual property or violates the privacy or publicity rights of any person;
- Personal data of third parties without consent;
- Spam, advertising, third-party referral or affiliate solicitation, or content unrelated to the Battle;
- Any content that violates applicable law or these Terms.
8.4 Enforcement
ORACLX reserves the right (but is not obligated) to monitor camera, microphone, and chat content for the sole purpose of safety and policy enforcement. ORACLX may, in its sole discretion and without prior notice: (i) mute, terminate, or block any Player's audio or video stream; (ii) eject a Player or Spectator from a Battle; (iii) suspend or terminate an Account; and (iv) refer evidence to law enforcement where ORACLX believes in good faith that doing so is required by law or appropriate to protect Users.
9. ELO Rating & Battle Records
The Service maintains a public ELO rating for each User who has completed at least one Battle. ELO is calculated from Battle outcomes using a modified Elo system that applies a higher K-factor to Legendary mode (2×) than to Quick mode (1×). Your ELO, your historical Battle record (wins, losses, current and best win streaks, total stakes earned), and your username and avatar are publicly visible to other Users on leaderboards and on Battle records.
ORACLX may adjust the ELO formula, recalibrate ratings to address inflation or deflation, or correct ratings impacted by demonstrably manipulative play, in each case acting reasonably.
10. Acceptable Use & Prohibited Conduct
You agree that you will not, and will not attempt to, directly or indirectly:
- Use the Service to violate any applicable law or regulation;
- Create or operate more than one Account, or transfer access to your Account to a third party, without ORACLX's express written consent;
- Use any robot, scraper, automated script, headless browser, or non-authorized API client to interact with the Service, or otherwise simulate a human Player using automated logic, except where ORACLX has expressly published an authorized programmatic interface and you are using it within its documented limits;
- Attempt to manipulate Battle outcomes through coordination with another User, "wash trading", chip dumping, soft-play collusion, or any similar practice;
- Attempt to manipulate the underlying Bitcoin price feed, exchange order book, or any other input the Service relies on;
- Attempt to gain unauthorized access to any account, server, smart contract, infrastructure, or data of ORACLX or any other User;
- Reverse engineer, decompile, or disassemble any non-open-source component of the Service, or circumvent any rate limits, access controls, or anti-cheat measures;
- Interfere with, disrupt, or impose an unreasonable load on the Service's infrastructure, including by denial-of-service or amplification attacks;
- Use the Service to launder funds, evade sanctions, finance terrorism, or commit any other financial crime;
- Misrepresent your identity, age, eligibility, or location to ORACLX;
- Use the Service to harm, harass, defame, stalk, threaten, or invade the privacy of any other User.
Violations are grounds for immediate suspension or termination of your Account, forfeiture of in-flight Stakes (subject to applicable law), reversal of recent payouts where technically feasible, and referral to law enforcement.
11. Fair Play & Anti-Manipulation
Because Battles use a public price feed and 1-minute candle resolution, the Service is structurally exposed to attempts to manipulate the underlying price. ORACLX reserves the right (in its sole discretion, acting reasonably and in good faith) to take any of the following actions if it detects activity reasonably likely to constitute manipulation, collusion, multi-accounting, or other unfair play:
- Void one or more candles in a Battle and re-determine the Battle outcome based on the remaining valid candles;
- Void an entire Battle and refund Stakes (less unrecoverable network fees);
- Reverse, claw back, or withhold a Settlement payout from an Account believed to have engaged in manipulation, where this remains technically feasible at the time of detection;
- Adjust the ELO of an Account believed to have benefited from manipulation;
- Suspend or permanently terminate an Account, with or without notice;
- Refer the matter to law enforcement.
ORACLX's anti-manipulation determinations are made on the basis of available evidence and good-faith judgment. They are not intended as adjudications of legal liability and do not constitute a finding of fact in any subsequent proceeding.
12. Smart Contracts & On-Chain Settlement
The core economic logic of the Service — Stake escrow, Battle Settlement, fee routing, and Spectator Pool distribution — is performed by Smart Contracts deployed to a public blockchain. The current canonical address(es) of these contracts are listed in our published technical documentation and may be inspected on a public block explorer.
12.1 Code is law (with limits)
Once a Smart Contract is deployed and a transaction is confirmed on-chain, the on-chain outcome is generally irreversible. ORACLX does not control individual Wallet keys, and ORACLX's operating role is limited to (i) initiating settlement transactions on behalf of the protocol, (ii) maintaining off-chain infrastructure (matchmaking, real-time media, web frontends), and (iii) exercising emergency pause or upgrade powers as documented in the contract's source code, where such powers exist.
12.2 No guarantee of contract correctness
Although the Smart Contracts have been tested and undergo or will undergo third-party security audit, ORACLX makes no representation or warrantythat the contracts are free of bugs, exploits, or unintended behaviors. Smart contract risk is real and is among the most consequential risks of using the Service. You assume this risk in full. Refer to the Risk Disclosurefor additional detail.
12.3 Upgrades and migrations
ORACLX may from time to time deploy a new contract or upgrade an existing contract (where its design supports upgradability) to fix bugs, comply with regulation, or add functionality. ORACLX will publish reasonable notice of material upgrades and will, where feasible, allow Users to claim outstanding balances from any deprecated contract.
13. No Investment Advice; No Securities Offering
Nothing in the Service or in any communication from ORACLX is, or should be construed as, investment advice, financial advice, legal advice, tax advice, or a recommendation to enter into any transaction. ORACLX is not a broker-dealer, investment adviser, futures commission merchant, swap dealer, money transmitter, or commodity pool operator, and the Service does not constitute a security, a futures contract, a swap, or a regulated derivative.
Battles are skill- and prediction-based contests with the structural risk of total loss. You should not commit funds you cannot afford to lose. Past performance, ELO standing, win streaks, and historical Battle outcomes are not indicative of future results.
14. Intellectual Property
14.1 Our marks and content
The "ORACLX" name, logo, the visual design, layout, look-and-feel of the Service, the source code (other than open-source components released under their respective licenses), the Smart Contract source code, the documentation, and all other intellectual property rights in or to the Service are owned by ORACLX or its licensors and are protected by applicable intellectual property laws.
14.2 Limited license to you
Subject to your compliance with these Terms, ORACLX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. This license does not permit, and you may not: (i) sublicense, sell, or commercially exploit the Service; (ii) use the Service to develop a competing product; (iii) remove or alter any proprietary notices; or (iv) use any ORACLX trademark, name, or logo without our prior written consent.
14.3 User-submitted content
By uploading an avatar, choosing a username, sending a chat message, or enabling your camera or microphone, you grant ORACLX a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to host, store, transmit, display, and (only as necessary for Service operation) modify the submitted content for the duration and purpose of operating the Service. You represent and warrant that you own or have all necessary rights in the content you submit and that the submission does not infringe the rights of any third party or violate applicable law.
15. Third-Party Services
The Service depends on, integrates with, and links to a number of third-party services, including without limitation: identity and wallet provisioning (Magic Labs); blockchain infrastructure and gas-paymaster services (such as Pimlico); real-time audio/video media (LiveKit); public price feeds (Binance); hosting and database (Supabase, Railway, DigitalOcean); content delivery and DDoS protection (Cloudflare); email delivery; and others.
These third parties are independent of ORACLX. Their availability, terms of service, privacy practices, and pricing are governed by their own agreements with you (where they are direct counterparties) or with ORACLX. ORACLX is not responsible for any act, omission, downtime, security incident, data breach, or fee charged by any third-party service. A list of principal third-party processors is maintained in our Privacy Policy.
16. Taxes
You alone are responsible for determining the tax consequences of your use of the Service in the jurisdiction(s) applicable to you, including without limitation the reporting and payment of any income, gains, value-added, consumption, or transaction taxes that may apply to your Stakes, winnings, or losses. ORACLX does not provide tax advice, does not collect or remit taxes on your behalf except where required to do so by applicable law, and does not generate consolidated tax statements except where required to do so by applicable law.
You acknowledge that ORACLX may be required from time to time to collect and report certain User information (including but not limited to wallet addresses, jurisdiction of residence, and aggregate transaction amounts) to tax authorities or other governmental bodies. By using the Service, you authorize such collection and reporting where required by law.
17. Disclaimers
The Service is provided on an "as is" and "as available" basis without warranty of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, ORACLX expressly disclaims all warranties, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and quiet enjoyment, and any warranties arising out of course of dealing, performance, or trade usage.
Without limiting the foregoing, ORACLX does not warrant that the Service will be uninterrupted, secure, free of viruses or other harmful components, or error-free; that any defects will be corrected; that the Service will meet your requirements; that price feeds will be accurate or available; that smart contracts are bug-free; or that any information obtained through the Service will be accurate or reliable.
18. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall ORACLX, its affiliates, officers, directors, employees, agents, contractors, licensors, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of data, loss of goodwill, loss of expected winnings, business interruption, or other intangible losses, arising out of or in connection with these Terms or the Service, whether based on contract, tort (including negligence), strict liability, or any other theory, even if ORACLX has been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, ORACLX's aggregate liability to any user, in any twelve-month period, arising out of or relating to these Terms or the Service, shall not exceed the greater of (a) the total Battle Fees and Spectator Fees paid by such User to ORACLX during such period, or (b) one hundred US dollars ($100).
Some jurisdictions do not permit the exclusion or limitation of certain damages. To the extent applicable law in your jurisdiction does not permit a provision of this Section to be enforced as written, that provision will be enforced to the maximum extent permitted by such law and the remainder of the Section will continue in full force and effect.
19. Indemnification
You agree to defend, indemnify, and hold harmless ORACLX, its affiliates, and each of their respective officers, directors, employees, agents, contractors, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including reasonable attorneys' fees) arising from or relating to: (i) your use of the Service; (ii) your breach of these Terms; (iii) your violation of any law or third-party right (including any intellectual property or privacy right); (iv) any User content you submit; or (v) any claim that your activity caused damage to a third party.
20. Modifications to the Service & Terms
ORACLX may modify, suspend, or discontinue the Service or any feature thereof at any time, with or without notice. ORACLX is not liable to you or any third party for any such modification, suspension, or discontinuation.
ORACLX may revise these Terms from time to time. The current Terms will be posted at oraclx.net/legal/terms with an updated effective date. Material changes will be communicated by reasonable means (in-app notification, email, or banner) where commercially practicable. Your continued use of the Service following the effective date of any revision constitutes your acceptance of the revised Terms.
21. Suspension & Termination
21.1 By you
You may stop using the Service at any time. Because ORACLX is non-custodial, your funds remain in your own Wallet and are not subject to a withdrawal flow controlled by ORACLX. You retain access to those funds independently of your continued use of the Service.
21.2 By us
ORACLX may suspend or terminate your access to the Service, with or without cause and with or without notice, including for: violation of these Terms, violation of applicable law, suspected fraud, money laundering, sanctions exposure, manipulation, multi-accounting, or material risk to other Users or the Service. ORACLX is not required to refund any Battle Fee, Spectator Fee, or other consideration paid in connection with conduct that violates these Terms.
21.3 Effect of termination
Upon termination, your right to access the Service ceases. Sections that by their nature should survive termination — including Sections 5, 12 through 19, 22, and 23 — will survive.
22. Dispute Resolution; Binding Arbitration; Class Waiver
22.1 Informal resolution first
Before filing any formal claim, you agree to first contact ORACLX at legal@oraclx.net with a written description of your dispute and your desired resolution. The parties shall attempt in good faith to resolve the dispute informally for a period of at least thirty (30) days from the date the dispute is first raised.
22.2 Agreement to arbitrate
If informal resolution fails, you and ORACLX agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (whether based on contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether arising before, during, or after the termination of these Terms) shall be resolved exclusively by final and binding individual arbitration administered by a recognized international arbitral institution (such as the International Chamber of Commerce, the London Court of International Arbitration, or the American Arbitration Association), conducted in English, by one (1) arbitrator, in a venue selected by the institution.
22.3 Class and collective action waiver
You and ORACLX agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of multiple parties and may not preside over any form of representative or class proceeding.
22.4 Carve-outs
Notwithstanding the foregoing, either party may (i) bring an individual action in small-claims court for claims that fall within that court's jurisdiction; (ii) seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidentiality rights; and (iii) initiate proceedings to compel arbitration or enforce an arbitration award.
22.5 Severability of this Section
If any portion of this Section is found unenforceable, that portion shall be severed and the remainder shall continue in full force and effect, except that if the class-action waiver in Section 22.3 is found unenforceable as to a particular claim, that claim must be litigated in court rather than arbitrated, and Sections 22.2 and 22.4 shall remain in effect for all other claims.
23. Governing Law & Jurisdictional Notice
These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws applicable to the operating entity of ORACLX as identified in our published documentation, without giving effect to any conflict-of-law principles that would result in the application of the laws of a different jurisdiction.
The Service is operated for users in jurisdictions where its provision is lawful. ORACLX makes no representation that the Service is appropriate or available in any particular jurisdiction. Users access the Service on their own initiative and are solely responsible for compliance with the laws applicable to them in their own jurisdictions.
24. Force Majeure
ORACLX is not liable for any failure or delay in performance under these Terms caused by events beyond its reasonable control, including without limitation: acts of God; war, civil unrest, terrorism, sanctions, or government action; epidemic, pandemic, or quarantine; failure or interruption of public utilities, internet, telecommunications, electricity, or other infrastructure; cyber-attack, denial-of-service, or unanticipated security event; failure of a public blockchain network, reference exchange, oracle, or other third-party service; failure of a Smart Contract; or regulatory or judicial order.
25. Miscellaneous
25.1 Entire agreement
These Terms, together with the Privacy Policy, Risk Disclosure, and Cookie Policy, constitute the entire agreement between you and ORACLX with respect to the Service and supersede all prior agreements, communications, and understandings, whether written or oral, with respect to the same subject matter.
25.2 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable in any respect, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby, and the provision in question shall be enforced to the maximum extent permitted by law so as to give effect to the parties' intentions.
25.3 No waiver
ORACLX's failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or of the right to enforce it on a future occasion.
25.4 Assignment
You may not assign or transfer these Terms or any of your rights or obligations hereunder, by operation of law or otherwise, without the prior written consent of ORACLX. Any attempted assignment in violation of this Section is void. ORACLX may freely assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, or to an affiliate.
25.5 No third-party beneficiaries
These Terms do not, and are not intended to, confer any rights or remedies on any person other than you and ORACLX, except that ORACLX's affiliates, officers, directors, employees, agents, contractors, licensors, and service providers are intended third-party beneficiaries of Sections 17, 18, 19, and 22.
25.6 Headings
Section headings are for convenience only and do not affect interpretation.
25.7 Language
These Terms are originally drafted in English. Any translation provided is for convenience only; in the event of any inconsistency, the English version controls.
